Referral Scheme Terms and Conditions

Moon Roast Referral Program Terms & Conditions Applicable for UK residents only  

**Submissions open until 31/4/25 only** 

1. Eligibility: 

  • The referral program is open to individuals aged 18 and over. 

  • By submitting a referral, you agree to these Terms & Conditions. 

2. How to Participate: 

  • Complete the referral form with your full name, phone number, email address, and the details of the target wholesale client you wish to refer. 

  • Only referrals submitted through the official landing page in writing will be considered valid claims for a lead. 

3. Lead Submission and Validation: 

  • Referrals are accepted on a first-come, first-served basis. 

  • When a referral is submitted, it will be checked against our database to prevent duplicate submissions. 

  • If two individuals refer the same wholesale client, priority will be given to the first submission. 

  • The referred client will be held under the first referrer’s name for 7 to 14 days. If no significant progress is made within this timeframe, the lead may be released and made available to the next referrer. 

  • Only written submissions via the landing page will be accepted as valid claims to a lead. 

4. Progress and Lead Management: 

  • Referrers will be notified of the status of their submission, including confirmation of acceptance or notification if the lead is already being pursued. 

  • Automated emails or other communication methods may be used to update referrers on lead status. 

  • All communications and status updates will be logged for audit purposes. 

5. Commission Structure: 

  • Commissions are based on the wholesale client's average weekly coffee usage over a 60-day data collection period after onboarding. 

  • Commission tiers are as follows:  

  • 50kg+ per week: £1000 

  • 25kg+ per week: £500 

  • 10kg+ per week: £250 

  • 5kg+ per week: £100 

  • If a client's usage falls between these tiers, commissions will be calculated proportionally. 

  • Payments will be processed within 5 UK business days after the 60-day data collection period, subject to compliance with all program conditions. 

6. Payment Terms: 

  • Payments will be made via bank transfer or another agreed-upon method. 

  • It is the referrer's responsibility to provide accurate payment details. 

  • Commissions are contingent upon the referred client's account being active, invoices fully paid, and compliance with all program conditions. 

  • All commissions are paid gross, and it is the sole responsibility of the referrer to declare this income to HMRC and pay any applicable taxes. Moon Roast will not be responsible for any tax liabilities incurred by referrers. 

  • Moon Roast reserves the right to verify the identity of referrers before processing commission payments, especially for amounts exceeding £1,000, to comply with anti-fraud and anti-money laundering practices. 

7. Conditions for Earning Commission: 

  • Referrals must result in an ongoing active, paying wholesale account purchasing Moon Roast for their house coffee and not short term or temporary offering or otherwise known as ‘guest coffee’.  

  • The referred client must remain in good standing, with all invoices paid during the 60-day evaluation period. 

  • Commissions are subject to verification and approval by Moon Roast. 

  • Moon Roast reserves the right to withhold payment if fraud, misrepresentation, or unethical conduct is detected. 

  • Each successful referral is eligible for its own commission, provided each referred business meets the qualification criteria independently. 

8. Dispute Resolution: 

  • Any disputes arising under these Terms & Conditions shall first be addressed through good faith negotiation. 

  • If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales. 

9. Limitation of Liability: 

  • Moon Roast shall not be liable for any indirect, incidental, or consequential damages arising from participation in the referral program. 

  • Moon Roast’s total liability under the referral program shall not exceed the commission amount due to the referrer. 

10. Data Protection (GDPR Compliance): 

  • We process personal data under the lawful basis of legitimate interest for the administration of this referral program. Data will be retained for a maximum of [insert period, e.g., 12 months] after the program ends unless required for legal or audit purposes. 

  • Participants have the right to access, correct, or request deletion of their data at any time. 

  • Payment details provided will be processed securely and stored in compliance with the UK GDPR. This information will be used solely for the purpose of administering referral payments. 

11. No Employment Relationship: 

  • Participation in this program does not create an employment, partnership, or agency relationship. Referrers are independent third parties. 

12. General Terms: 

  • Moon Roast reserves the right to amend, suspend, or terminate the referral program at any time without prior notice. 

  • Referrers found to be engaging in fraudulent activity or misrepresenting Moon Roast will be disqualified from the program. 

  • These Terms & Conditions constitute the entire agreement between the parties regarding the referral program and supersede any prior agreements or understandings. 

  • No person other than the parties to these Terms & Conditions shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of this agreement. 

  • Moon Roast shall not be held liable for delays or failures in program execution or commission payments due to events beyond its reasonable control, including but not limited to acts of God, government actions, pandemics, or technical failures.
